1. Context
The present Terms and Conditions govern the provision of services related to the integration of Odoo with the SAPHETY platform, provided by Arxi, Odoo Gold Partner. By accepting the proposed offer, the client declares their agreement and commitment to these Terms and Conditions.
2. Services Provided
2.1. Initial setup: A one-off fee of 1,600 euros covers the setup of the SAPHETY connector with your Odoo system, with an estimated duration of two working days.
2.2. Annual maintenance and support: An annual fee of 120 euros covers ongoing maintenance, updates related to the connector, and technical support specifically associated with the SAPHETY integration for sending documents in PDF format.
3. Updates
3.1. Updates to the SAPHETY connector will be provided as part of the annual maintenance fee. These updates include all necessary adjustments to ensure ongoing compatibility between the SAPHETY platform and Odoo.
3.2. Exclusions: Functional updates or changes to Odoo modules that are not related to the SAPHETY connector are not included and may incur additional costs.
4. Support
4.1. Included support: The annual maintenance fee includes support for incidents directly related to the SAPHETY connector. Support requests must be submitted through the designated support portal or by email, during business hours.
4.2. Exclusions: Functional support related to Odoo applications not associated with the SAPHETY connector is not included in this contract. Any request of this nature will be billed separately, in accordance with the prevailing rates.
5. Migrations
5.1. Included migrations: The annual fee includes support for migrations related to the SAPHETY connector when upgrading to a new version of Odoo or SAPHETY.
5.2. Exclusions: Migration services applicable to other Odoo modules or data not related to the SAPHETY connector are not included and may incur additional costs.
6. Payment Terms
6.1. Installation fee: The installation fee is payable at the time of signing the contract.
6.2. Annual fee: The annual maintenance fee is due within 30 days from the date of the respective invoice. The first payment is due after the completion of the setup.
7. Termination
7.1. Either party may terminate this contract by giving written notice at least 30 days in advance. Termination does not exempt the payment of any amounts owed in relation to services already rendered.
8. Limitation of Liability
8.1. Arxi's liability for any claims arising from this contract is limited to the total amount of fees actually paid for the contracted services.
9. Modification of the Terms of Service
9.1. Arxi reserves the right to periodically change these Terms of Service. The customer will be notified of any modifications. If the customer does not accept the new Terms, they may cease using the services. Continued use of the services after notification of the changes constitutes express acceptance of the modified Terms of Service.
