1. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

  • Arxi – Soluções Digitais, Lda.: the entity providing the FlyByOdoo service, with registered office and NIPC as indicated in the commercial register.
  • FlyByOdoo: standard business management software solution based on Odoo, provided as a subscription service (SaaS).
  • Client: legal entity or individual that subscribes to FlyByOdoo for use in a business context.
  • Subscription: the agreement between the Client and Arxi that regulates the use of FlyByOdoo, subject to monthly or annual payment.
  • User: person with permissions to access and operate within FlyByOdoo.

2. Object and Scope

These Terms and Conditions govern the use of FlyByOdoo, the subscription to the service, the applicable commercial conditions, as well as the rights and obligations of the parties.

The contracting of the service implies full acceptance of these Terms.


3. Subscription Conditions

3.1. Access to FlyByOdoo is provided through a monthly or annual subscription.

3.2. The Client may choose the desired plan and the number of users during the contracting process, with these factors being determinants for the total subscription value.

3.3. The service includes the creation and configuration of the instance, the installation of the selected applications, and the technical maintenance necessary for its operation.

3.4. Arxi reserves the right to introduce changes through updates and/or new versions made available, which may imply the discontinuation of certain functionalities or the imposition of limitations on them.


4. Payments and Invoicing 

​4.1. The subscription fees are those defined at the time of contracting and presented on the official FlyByOdoo website.

​4.2. Payment may be made by credit card, MB WAY, direct debit, or Multibanco reference.

​4.3. The invoice will be issued by Arxi – Soluções Digitais, Lda. after payment confirmation.

​4.4. In cases of automatic renewal, the charge will be made at the beginning of each new subscription period.


5. Cancellation and Suspension

​5.1. In the event of non-payment on the due date for the renewal of the FlybyOdoo subscription, access to the platform will be blocked.

5.2. Cancellation does not entitle the subscriber to a refund of any amounts already paid.

5.3. Arxi reserves the right to suspend or cancel the subscription in the event of:

  • Non-payment;
  • Misuse or illegal use of the service;
  • Serious violation of these Terms.


6. Support and Assistance

6.1. FlyByOdoo includes email support.

6.2. The support only covers general queries about usage and technical issues related to the operation of the service.

6.3. Issues that involve additional development, integration with external systems, or customisations are not included.


7. Customer Obligations

​7.1. The Client agrees to provide true and up-to-date information during the contracting process.

​7.2. The Client is responsible for ensuring that only authorised users access FlyByOdoo.

​7.3. The Client may not use the service for illegal, fraudulent purposes or in violation of third-party rights.


8. Responsibilities of Arxi – Digital Solutions, Ltd. 

​8.1. Arxi commits to providing FlyByOdoo in accordance with reasonably expected service levels.

​8.2. Arxi does not guarantee the complete absence of interruptions, failures, or errors, although it takes appropriate technical measures to minimise their occurrence.

​8.3. In the event of a service interruption, Arxi commits to restoring access as quickly as possible.


9. Limitation of Liability

9.1. Arxi is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use FlyByOdoo.

9.2. Arxi is not responsible for loss of profits, loss of data, business interruptions, or other losses arising from the use of the service.

9.3. Arxi's total liability, if any, shall be limited to the amount paid by the Client in the 12 months preceding the event that gave rise to the liability claim.


10. Data Protection and Confidentiality

10.1. Arxi undertakes to process the Client's personal data in accordance with the applicable legislation.

10.2. The data collected is intended solely for the provision of the service and will not be shared with third parties without the express consent of the Client.

10.3. The parties agree to keep confidential all technical, commercial, or strategic information obtained in the context of the contractual relationship.


11. Intellectual Property

11.1. All intellectual property rights in FlyByOdoo, including software, documentation, and associated materials, remain the exclusive property of Arxi.

11.2. The Client may not reproduce, modify, distribute, or create derivative works of FlyByOdoo without prior written permission from Arxi.
