1. Framework
This Maintenance and Quality Plan (“Plan”) regulates the subscription conditions applicable to the ARXI Billing and Accounting modules, adjusted to Portuguese legislation and integrated into the Odoo system.
2.Services Included
The subscription includes:
2.1. Mandatory legal and tax updates, whenever there are changes determined by the Tax Authority.
2.2. Resolution of bugs related to Portuguese localization, in accordance with defined SLAs.
2.3..Upgrades to the localization module version in all supported versions of Odoo, ensuring the continuity of the module.
2.4. Quality testing and validation before new versions are released.
2.5. Integration with DEFIR (Accounting Module).

3. Services Not Included
The Plan does not include:
3.1. Functional or technical support provided through other channels (phone, email, remote, or in person).
3.2. Customized development or specific adaptations outside the scope of the standard module.
3.3. Consulting, parameterization, or user training.
3.4. Support for Odoo modules not covered by the Plan.
(These services can be contracted separately through a commercial proposal from ARXI.)
4. SLAs – Localization Bug Resolution
4.1. Critical classification (impossibility of issuing/legally validating documents): response within 1 business day, resolution within 5 business days.
4.2. High priority (affects accounting/tax processes but with manual alternative): response within 2 business days, resolution within 10 business days.
4.3. Medium/low classification (no direct impact on legal compliance): resolution planned in the next release of the module.
5. Definition of Bug
Any failure of the Software or an Extra Module under warranty (assigned and guaranteed by the owner) that results in a complete blockage, error tracking, or security breach and is not directly caused by a faulty installation or configuration is considered a “Bug.”
Non-compliance (enterprise applications available from Odoo SA) with specifications or requirements will be considered a “Bug” at the discretion of Odoo SA (usually when the Software does not produce the results or performance it was designed to produce, or when a country-specific feature does not meet legal accounting requirements).
6. Terms and Price
6.1. The Plan can be subscribed to on an annual or biannual basis.
6.2. The applicable amount is available in the table at [Planos e Pricing ARXI].
6.3. Non-payment will result in immediate suspension of access to updates, upgrades, and bug fixes covered by the Plan.
6.4. The applicable payment method is direct debit (SDD - SEPA Direct Debit).
6.5. The subscription price may increase annually, limited to a maximum of 7%.
7. ARXI's obligations
7.1. Ensure the continuous updating of modules covered by Portuguese legislation.
7.2. Ensure the quality of delivered versions through internal validation tests.
7.3. Comply with the bug resolution SLAs defined in this document.
8. Client obligations
8.1. Keep the Odoo instance in a supported version and technically compliant to receive upgrades;
8.2. Make payments according to the chosen method;

9. Mandatory nature of the Plan
9.1. Subscribing to the Plan is a necessary condition for accessing:
9.1.1. Legal and tax updates.
9.1.2. Resolution of bugs related to the Portuguese localization.
9.1.3. Localization module version upgrades.
9.2. Customers without an active Plan will not be entitled to receive the updates, fixes, or support provided for in this document.
10. Term and Renewal
10.1. The Plan has a duration of 12 months (annual plan) or 24 months (bi-annual plan), and is automatically renewed unless terminated in writing 30 days in advance.
11. Changes
ARXI may revise these Terms and Conditions, notifying the Customer at least 30 days in advance of their entry into force.
12. Regime Multi-Empresas
12. Multi-Company Regime
12.1. For clients with more than one company (NIF), the subscription applies to a parent company, in the chosen modality. (Monthly, Annual, or Bi-Annual).
12.2. For each additional company associated with the same customer, a fixed annual surcharge per module is applied:
12.2.1. Billing: +€15/year per additional company.
12.2.2. Accounting: +€40/year per additional company.
12.3. Annual surcharges are charged per NIF and added to the parent company's plan value while the plan is active.
13. Specific Subscription Conditions for customers who do not yet have a subscription
13.1. Maintenance and Quality Plan subscriptions can be purchased in the following formats: Monthly, Annual, or Bi-Annual.
13.2. Conditions valid until December 10, 2025. After this date, discounts will no longer apply and base prices will apply.
Note: Until the end of 2024, ARXI did not charge maintenance fees for these modules to customers who were already working with us. This change reflects the need to standardize criteria, while maintaining respect for long-standing customers and ensuring the continuity of quality services.
13.3. The base prices and discount conditions are:

13.3.1. Biling
- Monthly Subscription:
- Base €30/month
- 1st subscription with 20% discount → €24;
- Next renewal with 10% discount → €27.
- Annual Subscription:
- Base €360/month
- 1st subscription with 40% discount → €216;
- Next renewal with 30% discount → 252€/ano.
- Bi-Annual Subscription:
- Base €720/2 years
- 1st subscription: 60% discount → €288/2 years;
- Next renewal with 50% discount → €360/2 years.
13.3.2. Accounting
- Monthly Subscription:
- Base €75/month
- 1st subscription with 20% discount → €60;
- Next renewal with 10% discount → €67.50.
- Annual Subscription:
- Base €900/year
- 1st subscription with 40% discount → €540;
- Next renewal with 30% discount → €630/year.
- Bi-Annual Subscription:
- Base €1,800/2 years
- 1st subscription: 60% discount → €720/2 years;
- Next renewal with 50% discount → €900/2 years.
These conditions ensure the maintenance, legal compliance, and continuous updating of the Billing and Accounting modules.
